GREENWORLDER TERMS OF SERVICE

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User" or "you") and Greenworlder S.A., with registered address: 9, rue du Laboratoire, L-1911 Luxembourg ("Company," "we," "us," or "our") governing your use of the Greenworlder mobile application (the "App").

By downloading, installing, accessing, or using the App, you agree to be bound by the terms of these Terms. If you do not agree with these terms, do not download, install, access, or use the App.​

1. Account Registration and Usage

1.1 Account Creation: In order to use certain features of the App, you may be required to create an account. You may create an account using your email address or by using social logins provided by Apple, Facebook, or Google. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You need to be at least 16 years of age to create an account and use the App.

1.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorised use of your account or any other breach of security.

1.3 Code of Conduct: You agree to abide by our Code of Conduct, which prohibits, among other things, the following:

•    Posting or sharing content that is illegal, harmful, defamatory, or infringes upon the rights of others.

•    Engaging in harassment, bullying, hate speech, or discriminatory behavior.

•    Manipulating features of the App to gain an unfair advantage or engage in cheating.

2. User-Generated Content

2.1 Content Ownership: You retain ownership of any content you upload, post, or share on the App. However, by uploading, posting, or sharing content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the operation of the App.

2.2 Content Guidelines: You agree not to upload, post, or share any content that violates our Content Guidelines, including, but not limited to, the prohibitions outlined in our Code of Conduct.

2.3 Content Accuracy: Any reliance on content shared through the App is at your own risk. We don't guarantee the accuracy or reliability of any content or communications shared through our platform, nor do we endorse any opinions expressed. You may come across content that is offensive, harmful, inaccurate, or misleading while using the App. The responsibility for all content lies with the person who posted it. We don't actively monitor or control all content posted, so we can't take responsibility for it unless obligated by law.

3. Account Suspension or Banning

3.1 Suspension or Banning: We reserve the right to suspend or permanently ban your account, without notice, if we believe that you have violated these Terms, our Code of Conduct, or any applicable laws or regulations.

3.2 Appeals Process: If your account is suspended or banned, you may submit an appeal to us within a reasonable time period. We will review your appeal and may reinstate your account at our sole discretion.

3.3 Arbitration: We are the sole arbitrator of account suspensions or bans, and our decision is final and binding.

4. Licensing

4.1 License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal use.

4.2 Restrictions: You agree not to:

•    Copy, modify, distribute, sell, lease, sublicense, or otherwise transfer the App or any portion thereof.

•    Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.

•    Use the App for any illegal, unauthorised, or prohibited purpose.

5. Intellectual Property Rights

5.1 Ownership: The App and all associated intellectual property rights are and shall remain the exclusive property of the Company. Nothing in these Terms shall be construed to transfer any intellectual property rights to you.

5.2 User Contributions: By uploading, posting, or sharing content on the App, you represent and warrant that you have the necessary rights, licenses, and permissions to do so. You agree not to upload, post, or share any content that infringes upon the intellectual property rights of others.

6. Disclaimer of Warranty and Limitation of Liability

6.1 Disclaimer: The App is provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2 Limitation of Liability: In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, or use, arising out of or in connection with your use of the App.

7. Governing Law and Dispute Resolution

7.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg, without regard to its conflict of law principles.

7.2 Dispute Resolution: Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the Arbitration Institution in Luxembourg. The arbitration shall be conducted in Luxembourg and the language of the arbitration shall be English.

8. Amendments

8.1 Amendments: We reserve the right to modify or amend these Terms at any time. Any changes will be effective upon posting of the revised Terms. Your continued use of the App after the posting of any changes constitutes acceptance of those changes.

9. Entire Agreement

9.1 Entire Agreement: These Terms constitute the entire agreement between you and us regarding the subject matter hereof, and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
